Welcome to GSM Parts Center (GPC) a brand operated by GSM Supply B.V., an international wholesaler based in Rotterdam, The Netherlands. We specialize in the supply of spare parts, accessories, tools, smartphones, tablets and related repair equipment to professional repair centers, retail chains, refurbishing facilities, and resellers worldwide. Article 1. Business-to-Business Supply Only 1. GPC exclusively supplies to registered companies. We do not sell to private consumers. To obtain access to our platform, a valid company name, VAT number, and business contact details are required. We regularly verify registration data and reserve the right to suspend or close accounts that provide false information or that no longer operate as legitimate businesses. 2. Orders placed through unauthorized or non-business accounts will be cancelled without prior notice.

Article 2. Applicability of These Terms 1. These Terms apply to all quotations, offers, sales, and deliveries made by GPC, regardless of any conflicting terms in a customer’s purchase order or correspondence. Deviations are valid only if confirmed in writing by GPC. 2. By placing an order or maintaining an account, the customer automatically agrees to the latest published version of these Terms.

Article 3. Prices and Offers 1. All prices on our website or in quotations are exclusive of VAT, shipping costs, import duties, and other taxes unless explicitly stated otherwise. Prices are based on current exchange rates and supplier costs. GPC reserves the right to change prices or specifications at any time without notice. 2. Product descriptions, technical data, or photos are provided for reference only. Minor deviations or updates do not entitle the customer to cancel or claim compensation.

Article 4. Orders and Payments 1. Orders are binding once confirmed by GPC in writing or when shipment begins. Payment must be made in advance unless a written credit arrangement has been approved by our finance department. 2. We accept iDEAL, Credit Card, PayPal, Bancontact, and Bank Transfer. If payment obligations are not met, GPC may suspend further deliveries or cancel existing orders. 3. Until full payment is received, all goods remain the property of GPC.

Article 5. Shipping, Delivery and Risk Transfer 1. All shipments are handled from our Rotterdam facility under Ex Works (EXW) conditions unless otherwise agreed. GPC uses carriers such as UPS, DHL, PostNL, FedEx, and GLS. 2. Once goods leave our warehouse, all transport risks transfer to the buyer. GPC is not responsible for loss, delay, customs clearance, or damage caused during transport or by courier handling. 3. Delivery times are always indicative. Delays, strikes, weather conditions, customs issues or other unforeseen circumstances do not entitle the customer to cancel or claim compensation. 4. Any import duties or local taxes are entirely the customer’s responsibility.

Article 6. Inspection and Complaints 1. Customers must inspect all goods immediately upon receipt and report any issues within 24 hours. After this period, claims cannot be accepted, as carriers typically reject late reports for transport damage or missing goods. 2. Complaints may include damaged goods, missing quantities, or incorrect items. All complaints must be submitted in writing via email to info@gsmpartscenter.com, including: 3. Order number and invoice reference 4. Clear description of the issue 5. Photos and/or videos showing the problem 6. Claims lacking sufficient information may not be processed.

Article 7. Warranty Policy 1. Unless otherwise specified, GPC provides a limited 90-day warranty on spare parts against manufacturing defects only. Warranty covers the functionality of the item as delivered but excludes: 2. Improper installation, damage caused by tools, flex tearing, bending or heat 3. Incorrect usage, liquid damage, software modification, or user negligence 4. Any defect resulting from unqualified handling or poor repair skills 5. All warranties are void if the item has been used, glued, soldered, or installed. Testing should always be performed prior to installation. 6. GPC does not accept returns or warranty claims due to lack of technical knowledge or failed repairs. 7. Products returned without clear proof of defect or returned in damaged condition may be refused or subject to a restocking or handling fee up to 25% of the product value.

Article 8. RMA (Return Merchandise Authorization) Procedure 1. Returns are only accepted when an RMA request has been properly created through the customer’s GPC account under the “RMA” section and approved by GPC. 2. Each return must include a valid RMA number and RMA form provided by GPC. Packages sent without a valid RMA number, incomplete form, or incorrect documentation will be refused and returned at the customer’s expense. 3. Returned items must carry GPC’s original markings, such as stickers or stamps, confirming origin. Items that are broken, not originally supplied by GPC, or that show signs of tampering will not be processed and may lead to inspection or labor charges added to future invoices. 4. The customer is responsible for ensuring that RMA shipments reach GPC in proper condition. GPC is not responsible for loss or damage to returned goods during transport.

Article 9. Restocking and Handling Fees 1. For returns that are made without valid reason (e.g., mistaken order, overstock, lack of installation knowledge, or customer indecision), GPC reserves the right to charge a restocking fee up to 25% of the product value. This fee covers administrative processing, inspection, repackaging, and quality control costs. 2. Refunds, when approved, are issued as store credit only unless otherwise agreed in writing.

Article 10. Device Warranty (Phones, Tablets, Laptops) 1. Devices offered by GPC may be categorized as Brand New, Refurbished, Provider Pre-Owned, or Marginal Condition. Warranty coverage differs by category: 2. Brand New Devices: May carry the manufacturer’s factory warranty. In such cases, claims must be made directly with the respective brand (e.g., Apple, Samsung, etc.). 3. Refurbished / Provider Pre-Owned / Marginal Devices: Covered by a strict 30-day limited warranty from GPC. a. Warranty applies to the logic board and main functionality. b. No warranty on consumables or external components such as batteries, displays, housings, or buttons. c. Devices with MDM locks, FRP locks, or software issues are excluded unless otherwise specified. 4. Devices must be returned exactly as supplied, without parts swapped or opened. Bulk or multiple-device returns are not accepted under any circumstances.

Article 11. Order Terms, Pre-Orders & Shipping Conditions 1. All quotations and pro-forma invoices from GSM Parts Center (GPC) are subject to typing or system errors and availability. By confirming or paying a pro-forma, the buyer agrees to all listed item codes, quantities, and prices. Quotations are valid for 14 days unless stated otherwise. 2. Orders and pre-orders are processed on a first-order-in / first-order-out basis. Pre-order dates are indicative only; GPC is not liable for production or delivery delays of any kind. Cancellation of a confirmed order or pre-order may incur a cancellation fee of up to 10% of the order value. 3. Our default shipping terms are DAP (Delivered At Place), or EXW (Ex-Works) when using the customer’s own carrier. Risk transfers to the buyer once goods are handed to the carrier or made available for pickup. 4. GPC reserves the right to decline or cancel any order in case of stock issues, pricing errors, or suspected fraud. Delivery delays never entitle the buyer to compensation or order cancellation.

Article 12. Ownership of Goods (Title Transfer) 1. All delivered goods remain the property of GPC until full payment for all outstanding invoices has been received. Until ownership transfers, the customer must handle the goods with care and may not resell or pledge them outside normal business activity. If payment is overdue, GPC reserves the right to reclaim goods or suspend new deliveries.

Article 13. Force Majeure and Unforeseen Events 1. GPC is not responsible for failure or delay caused by events beyond its reasonable control, including but not limited to: natural disasters, pandemics, strikes, accidents, government restrictions, internet failures, supplier issues, or transportation interruptions. During such events, obligations are suspended, and delivery dates may be extended. No compensation or order cancellation will be accepted due to such circumstances.

Article 14. Intellectual Property and Brand Usage 1. All content and materials on our website, including but not limited to the names GSM Parts Center, GPC, the G-Shield emblem, product descriptions, images, and layouts are the intellectual property of GSM Supply B.V. and are protected by copyright and trademark law. 2. Other product names, logos, or brands mentioned or displayed on our site are the property of their respective owners. GPC makes no claim of ownership over third-party brands. Unauthorized use, reproduction, or modification of any GPC intellectual property is strictly prohibited and may lead to legal action.

Article 15. Export Control and Sanctions Compliance 1. Customers must comply with all applicable international sanctions and export control regulations, including those of the European Union, United Nations, and United States (OFAC). Products supplied by GPC may not be sold, re-exported, or transferred to restricted destinations, including but not limited to the Russian Federation, or to individuals or entities listed on sanction registers. 2. Violation of these rules will result in immediate termination of the business relationship, cancellation of orders, and may lead to legal liability and compensation claims.

Article 16. Limitation of Liability 1. GPC’s total liability for any claim is strictly limited to the invoice value of the goods concerned. We are not liable for indirect or consequential damages, loss of profit, data, or business opportunity arising from delays, product defects, or other causes. 2. GPC is never responsible for damages caused by misuse, unauthorized modifications, or failure to follow installation procedures.

Article 17. Indemnification 1. The customer agrees to indemnify and hold GPC harmless from any third-party claims, penalties, or damages resulting from misuse of our products, unlawful exports, or breach of these Terms.

Article 18. Privacy and Data Protection 1. GPC processes customer data strictly for account management, order handling, and invoicing purposes in accordance with the EU General Data Protection Regulation (GDPR). Our full Privacy Policy can be found on our website. 2. We never sell or disclose customer data to unauthorized third parties.

Article 19. GPC Tier Program 1. GPC offers a Tier Program for qualified business customers, providing exclusive discounts, early-stock access, and dedicated account support. The program consists of four levels: Bronze, Silver, Gold, and Platinum which are assigned based on your company’s purchase history, region, and account performance. 2. Tier status is granted and managed by your assigned Regional Account Manager and may be reviewed periodically. Benefits, conditions, and eligibility criteria may vary by country or market segment. GPC reserves the right to modify, suspend, or withdraw the Tier Program or specific benefits at any time without prior notice. 3. For enrollment or inquiries, please contact info@gsmpartscenter.com.

Article 20. Termination and Account Suspension 1. GPC reserves the right to suspend or terminate any account without notice if: 1. The customer provides false or incomplete business information 2. Misuses the platform, engages in fraud, or violates export/sanction laws 3. Fails to pay outstanding invoices or abuses the RMA process 4. All obligations and unpaid amounts remain due after termination.

Article 21. Changes to Terms 1. GPC may update or amend these Terms & Conditions from time to time. The latest version is always available on www.gsmpartscenter.com 2. By continuing to use our website or placing orders, the customer agrees to the current version.

Article 22. Governing Law and Dispute Resolution 1. All agreements with GPC are governed by the laws of The Netherlands. The District Court of Rotterdam has exclusive jurisdiction over any dispute arising from these Terms. 2. The UN Convention on the International Sale of Goods (CISG) does not apply.

Article 23. Final Provisions 1. If any provision of these Terms is deemed invalid or unenforceable, the remaining clauses shall remain fully in force. 2. Failure by GPC to enforce any provision shall not be interpreted as a waiver of rights.
